1. Purpose of the Agreement These Terms and Conditions establish the framework under which Brand&Mind Software and Marketing LLC (hereinafter referred to as “the Company”) authorizes the Independent Reseller (hereinafter referred to as “the Reseller”) to promote, refer, and assist in the sale of Brand&Mind Merchant Solutions payment technology and merchant services. 2. Definition of the Reseller The Reseller operates as an independent contractor, not as an employee, and is compensated under a commission-based structure. The Reseller’s role is to identify potential clients and refer them to the Company for the activation of merchant accounts, POS systems, and related services. 3. Commission and Payment Terms The Reseller shall receive a 10% (ten percent) commission on the net profit earned by the Company from each active merchant account acquired through the Reseller’s efforts. Net profit refers to the actual percentage margin received by the Company from the payment processor, after deducting processing costs, activation fees, and operational expenses. Payments will be made monthly, within the first ten (10) business days of the following month, via bank transfer or electronic payment, after verifying active accounts and confirmed settlements. 4. Reseller Obligations The Reseller agrees to: a. Promote Brand&Mind Merchant Solutions ethically and professionally. b. Avoid offering unauthorized discounts or pricing modifications. c. Protect confidential information belonging to the Company and its clients. d. Use only Company-approved marketing materials. e. Refrain from making false or misleading statements about the services. 5. Marketing Materials The Company will provide official marketing assets — including logos, brochures, videos, and digital templates — to ensure brand consistency. All promotional activity must adhere to the official design guidelines of Brand&Mind Software and Marketing LLC. 6. Confidentiality The Reseller must maintain strict confidentiality regarding any technical, financial, or business information obtained during the partnership. Any unauthorized disclosure may result in immediate termination of this agreement and potential legal action. 7. Term and Termination This agreement becomes effective upon signature or digital acceptance. Either party may terminate the agreement with a 15-day written notice. The Company reserves the right to suspend payments and terminate the relationship immediately in cases of non-compliance or misconduct. 8. Limitation of Liability The Reseller shall not represent themselves as an employee or agent authorized to sign contracts, collect payments, or make financial commitments on behalf of the Company. The Reseller’s role is limited to commercial referral and sales development. 9. Governing Law and Jurisdiction This agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States of America. Any dispute arising from this agreement shall be submitted to the competent courts of said jurisdiction. 10. Acceptance By signing below, the Reseller acknowledges that they have read, understood, and agreed to all the terms and conditions outlined herein, and commits to representing Brand&Mind Merchant Solutions with integrity, professionalism, and compliance.
